FORM YOUR OKLAHOMA SERIES LLC
An Oklahoma limited liability company is formed by filing a document called The Articles of Organization with the Oklahoma Secretary of State.
You may file the Articles of Organization online or by mail. The fee for filing the Articles of Organization online is $104 and the fee for filing the Articles of Organization by mail is $100.

Articles of Organization for Series Limited Liability Company
If you wish to form an Oklahoma Series LLC, you are generally permitted to file the same Articles of Organization form as a standard LLC but would need to add a provision indicating that you would like the LLC to be treated as a Series LLC. For your convenience, we have drafted a sample Articles of Organization for an Oklahoma Series LLC that you can complete and file with the state if you are forming an Oklahoma Series LLC. Note - The information required to complete the form is the same as the standard Articles of Organization.
- The name of the LLC. The name must include the words limited liability company, LLC or L.L.C. at the end of the entity name.
- T he address of the LLC’s principal place of business.
- T he name and address of the registered agent. You may not use a PO Box. A registered agent must be an individual residing in the state, a domestic corporation or a foreign corporation authorized to do business in the state. The registered office is typically the business office of the registered agent. It need not be the same office of the LLC’s business office. If you or one of the members of the LLC has an address in the state you may use that address for register agent purposes.
- The duration of the LLC. The term may be perpetual.
- The signature of the organizer(s): At least one organizer must sign the Articles of Organization. The organizer(s) is generally not required to be a member of the LLC.

The Series LLC Operating Agreement is the core document that is referred to when issues concerning the Series LLC need to be resolved. The Series LLC Operating Agreement reflects the agreement among the members with respect to the affairs and management of the Series LLC, as well as governs the relationship amongst the members of the Series LLC.
