FORM YOUR IOWA SERIES LLC

An Iowa limited liability company is formed by filing a document called The Certificate of Organization with the Iowa Secretary of State and paying a fee of $50. Please make check(s) payable to the “Secretary of State”.

Note: The State of Iowa does not make available a sample Certificate of Organization form. Therefore, FormLLCDirect has drafted a sample Certificate of Organization in Word format for your benefit, which is compliant with the Iowa LLC Statute. The Certificate of Organization should include:

Series Limited Liability Company

Include the name of the LLC. The name must include the words limited liability company, LLC or L.L.C. at the end of the entity name.
T he name and address of the registered agent of the limited liability company in Iowa. A registered agent is the person designated to receive service of process upon litigation. This person must be located in Iowa at a physical address. Post Office boxes and commercial personal mail boxes are not acceptable.
The purpose for forming the LLC. An LLC may list any lawful purpose.
A new Article and title it Series LLC. The article should state that you want the LLC to be treated as an Iowa Series LLC and should list the name of each LLC Series.
T he signature of the organizer(s): The organizer(s) must sign the Certificate of Organization. The organizer is generally not required to be a member of the LLC.

STEP 3
GET A CUSTOMIZED IOWA OPERATING AGREEMENT

It is extremely important that every Iowa Series LLC has an Series LLC Operating Agreement. The Series LLC Operating Agreement is the core document that is referred to when issues concerning the Series LLC need to be resolved. The Series LLC Operating Agreement reflects the agreement among the members with respect to the affairs and management of the Series LLC, as well as governs the relationship amongst the members of the Series LLC.
