STEP 2
FORM YOUR LOUISIANA LLC

A Louisiana limited liability company is formed by filing the following documents with the Louisiana Secretary of State: (i) The Articles of Organization, and (ii) Initial Report (Form 973) which is attached to the Articles. There is a filing fee of $75 for filing the Articles of Organization. You may pay an additional $30 to expedite the process and have your Articles of Organization processed in 24 hours. Checks should be made payable to the “Secretary of State”.

To Complete the Articles of Organization and Initial Report you must include:

A. Articles of Organization

  1. The name of the LLC. The name must include the words limited liability company, LLC or L.L.C. at the end of the entity name.
  2. The purpose for forming the LLC. An LLC may list any lawful purpose.
  3. The duration of the LLC – the duration of the LLC may be perpetual
  4. The Articles of Organization must be notarized

B. Initial Report

  1. The name of the LLC. The name must include the words limited liability company, LLC or L.L.C. at the end of the entity name.
  2. The address of the LLC’s registered office. You may not use a PO Box. The registered office is typically the business office of the registered agent. It need not be the same office of the LLC’s business office. If you or one of the members of the LLC has an address in the state you may use that address for register agent purposes.
  3. The name and address of the registered agent. You may not use a PO Box.
  4. The name and address of the first manager(s) or the initial member(s) of the LLC.
  5. The Initial Report should be signed by each person who signed the Articles of Organization.
  6. The registered agent must sign the Initial Report and the Initial Report should be notarized.


 

STEP 3
