FORM YOUR IDAHO LLC

An Idaho limited liability company is formed by filing a document called The Articles of Organization with the Idaho Secretary of State and paying a fee of $100 (if expedited service is requested, add $20.00 to the filing fee). Make checks payable to the “Secretary of State”.

To complete The Articles of Organization you must include:

  1. The name of the LLC: The name must include the words limited liability company, LLC or L.L.C. at the end of the entity name.
  2. The address of the LLC's primary office
  3. The name and address of the registered agent of the limited liability company in Idaho. A registered agent is the person designated to receive service of process upon litigation. This person must be located in Idaho at a physical address. Post Office boxes and commercial personal mail boxes are not acceptable.
  4. The name and address of at least one member or manager
  5. The signature of the organizer: An organizer may sign the Articles of Organization in behalf of a member or members of the limited liability company.



 

STEP 3

It is extremely important that every Idaho LLC has an LLC Operating Agreement. The LLC Operating Agreement is the core document that is referred to when issues concerning the LLC need to be resolved. The LLC Operating Agreement reflects the agreement among the members with respect to the affairs and management of the LLC, as well as governs the relationship amongst the members of the LLC.
