ANNUAL REPORTS

ALABAMA ANNUAL REPORT

Alabama limited liability companies must file an Alabama Business Privilege Tax Return with the Alabama Secretary of State each year. Presently, the Alabama Secretary of State does not offer online filing. The fee for filing the Alabama Business Privilege Tax Return is $10.

The Alabama Business Privilege Tax is levied for the privilege of being organized under the laws of Alabama or doing business in Alabama (if organized under the laws of another state or country). See Section 40-14A-22, Code of Alabama 1975 .

The Alabama business privilege tax return is due no later than three and a half months after the beginning of the taxpayer’s taxable year. For example, the 2010 Tax Return for a calendar year limited liability entity would be due on April 15, 2010.

ALASKA ANNUAL REPORT

Alaska limited liability companies must file a Biennial Report with the Alaska Secretary of State every two years. The Alaska Secretary of State offers online filing. The fee for filing the Alaska Biennial Report is $100.

The Biennial report is due on January 2nd of every even numbered year if you organized in an even numbered year, or every January 2 of every odd numbered year if you organized in an odd numbered year.

Note: Alaska requires that new limited liability companies formed in Alaska file an Initial Report within 6 months of organization.

ARIZONA ANNUAL REPORT

An Arizona Limited Liability Company is not required to file an Annual report with the State of Arizona.

Note: An Arizona limited liability company doing business in another state may have to file an Annual Report with that state.


ARKANSAS ANNUAL REPORT

An Arkansas Limited Liability Company is not required to file an Annual report with the State of Arkansas.

CALIFORNIA ANNUAL REPORT

A California Limited Liability Company (LLC) must file a Biennial Report on Form LLC-E012R. The Biennial Report may be filed five (5) months prior to the filing month. The Biennial Report is due by the end of the filing month.

California LLC's and foreign California LLC's registered to do business in California are required to file an Initial Report (California Statement of information) within 90 days of the date the LLC was formed. Typically, you will receive the Initial Report mailed back to you with your completed file stamped "filing".

Note: LLCs taxed as partnerships are not subject to franchise or income tax in California. Like limited partnerships, LLCs, including single-member LLCs disregarded for federal income tax purposes, are subject to the minimum franchise fee of $800.

In addition to the minimum franchise fee, LLCs are subject to a gross receipts based annual fee, regardless of their federal entity classification. The gross receipts based fee is based on a graduated scale and ranges from $900 for LLCs with receipts from California between $250,000 and $500,000 to $11,790 for LLCs with California receipts in excess of $5 million.

COLORADO ANNUAL REPORT

Colorado limited liability companies must file an Annual Report with the Colorado Secretary of State each year. The Colorado Secretary of State offers online filing. The fee for filing the Colorado Annual Report is $10.

A notice that an Annual Report is due is mailed to the registered agent for the reporting entity when the entity’s Annual Report is due. This will not be a form to be completed and returned by mail; instead, it will be a postcard notice stating that an Annual Report is due and directing the filer to our website to either file online or print a completed report for mailing. If an entity does not file an Annual Report in a timely manner, the entity’s status will be changed from Good to Noncompliant and a second postcard will be mailed to both the registered agent and the principal office address notifying the entity that it has 60 days to file an Annual Report or the status will be changed to Delinquent.

DELAWARE ANNUAL REPORT

A Delaware Limited Liability Company (LLC) is not required to file an Annual report with the State of Delaware. However, the State of Delaware imposes a $250 annual tax on all Delaware LLCs.


DISTRICT OF COLUMBIA ANNUAL REPORT

District of Columbia limited liability companies (LLCs) must file a Biennial Report with the Secretary of the District of Columbia every two years. The Report is due June 16. The fee for filing the District of Columbia Biennial Report is $150.

FLORIDA ANNUAL REPORT

A Florida Limited Liability Company (LLC) must file an Annual Report with the Florida Secretary of State. All Annual Reports mustbe entered and submitted electronically online . The Annual report is due May 1st. The fee for filing the Florida Annual Report is $138.75. Payments can be made by credit card, debit card, or by check or money order.

GEORGIA ANNUAL REPORT

A Georgia Limited Liability Company (LLC) must file an Annual Report with the Georgia Secretary of State. Entity registrations are due by April 1st of each year, but may be filed as early as January 1st. The registration should be filed online. The fee for filing the Annual report online is $30.

Filing the annual registration provides a current record of an entity’s management structure, correct mailing address, and registered agent’s name and address.  In addition, entities that do not timely file annual registrations, together with all required fees, may be subject to administrative dissolution or revocation of their authorization to transact business in this State.

INDIANA ANNUAL REPORT

An Indiana Limited Liability Company (LLC) must file an Annual Report with the Indiana Secretary of State. After a business entity has formed or been granted authority to do business in the state of Indiana, it has an ongoing responsibility to file regular business entity reports. These reports must be filed every two years by LLCs. The filings are due during the anniversary month of the LLC's formation. As a courtesy the Secretary of State sends a reminder notice of the filing obligation. The Annual Report may be filed online or via mail. IOWA BIENNIAL REPORT

An Iowa Limited Liability Company (LLC) must file a Biennial Report with the Iowa Secretary of State. The Report must be filed with the state every two (2) years. The State of Iowa will send you the Report for completion prior to the due date. The fee for filing the Biannual Report is $30.


KANSAS ANNUAL REPORT

KENTUCY ANNUAL REPORT

A Kentucky Limited Liability Company (LLC) must file an Annual Report with the Kentucky Secretary of State. The State of Kentucky will send you the Report for completion prior to the due date. The Annual Report must be filed online. The fee for filing the Annual Report is $15.

LOUISIANA ANNUAL REPORT

A Louisiana Limited Liability Company (LLC) must file an Annual Report with the Louisiana Secretary of State. Each year, on or before the anniversary date of organizing or qualifying in Louisiana, all Louisiana and all foreign limited liability companies must file an Annual Report. The reports serve the purpose of maintaining proper information regarding the company's registered office address, agents for service of process, and, for Louisiana companies, members and managers. The Annual Report form, printed with the current information on file in the Secretary of State's office, including the company's identification number, is mailed to the company at least 30 days prior to the anniversary date. (Blank forms are not furnished.) Companies which have failed to file the required annual reports will be considered 'not in good standing'. In addition, a company will be subject to revocation when delinquent in annual report filings for three consecutive years.


MAINE ANNUAL REPORT

A Maine Limited Liability Company (LLC) must file an Annual Report with the Maine Secretary of State. The Annual Report is due June 1 st. The State of Maine will send you a reminder by email around January 1. The Annual Report may be filed online or by mail. MARYLAND ANNUAL REPORT

A Maryland Limited Liability Company is not required to file an Annual report with the State of Maryland. However, a Maryland limited liability company doing business in another state may have to file an Annual Report with that state.

Note: All domestic and foreign legal entities must submit a Personal Property Return to the Department. Failure to file a Personal Property Return will result in forfeiture of your right to conduct business in Maryland. Copies of the return are available on the Maryland State Department of Assessment and Taxation website . The returns are due April 15th of each year.

A Massachusetts Limited Liability Company (LLC) must file an Annual Report with the Massachusetts Secretary of State. MICHIGAN ANNUAL REPORT

A Michigan Limited Liability Company (LLC) must file an Annual Report with the Michigan Secretary of State. The Annual report is due on February 15 of each year. The Annual Report will be mailed to you by the state approximately 90 days prior to the filing deadline. The fee for filing the Annual Report is $25.


MINNESOTA ANNUAL REPORT

A Minnesota Limited Liability Company (LLC) must file an Annual Report with the Minnesota Secretary of State. An annual renewal is required once each calendar year and is due by December 31 st.  There is no charge for filing unless the company has been Administratively Terminated or Revoked, in which case there is a $25.00 reinstatement fee.

NORTH CAROLINA ANNUAL REPORT

A North Carolina Limited Liability Company (LLC) must file an Annual Report with the North Carolina Secretary of State. LLC annual reports are due for the year in which they are filed. In other words, any LLC in existence on or before April 15th of any given year owes an annual report for that year. An LLC that forms on April 15th would owe an annual report for that year. An LLC that forms on April 16th (or after) is not in existence when the due date for an annual report occurs for that calendar year; therefore, LLCs that form after April 15th will not owe an annual report until the next calendar year. You must file the Annual Report online.
