What is a Registered Agent?
In general, a limited liability company ("LLC") is required to have
and maintain a registered agent and/or a registered office. Generally a registered agent
must be an individual residing in the state, a domestic corporation or a foreign corporation
authorized to do business in the state. The registered office is typically the business office
of the registered agent. It need not be the same office of the LLC's business office.
In other words, the registered agent address is typically the LLC's main business location.
Note, the principal office of the LLC does not necessary have to be located in the state of
formation. For example, if you are forming your LLC in the state of Delaware, the LLC's
principal place of business can be in a state other than Delaware.
The purpose of a registered agent is to accept any process, notice, or demand required or permitted by
law to be served upon the LLC.
